About the Role You will support a thriving corporate practice advising private and public companies on securities compliance, capital markets transactions, corporate governance, and general corporate matters. The position offers hands-on work, direct client interaction, and the chance to help shape strategic decisions for emerging and established businesses. Key Responsibilities Advise clients on securities law compliance, including Reg D, Reg CF, and other private offering frameworks Support capital raises, venture financings, and related corporate transactions Draft and negotiate corporate and securities documents with precision and business awareness Guide clients on corporate governance, disclosure obligations, and compliance best practices Manage multiple matters simultaneously while maintaining strong attention to detail Collaborate with internal teams and external stakeholders to drive transactions forward Requirements 5 years of corporate and securities experience at a law firm Strong understanding of private offerings, securities exemptions, and compliance obligations Solid drafting, negotiation, and analytical skills Ability to manage complex workstreams independently Excellent communication skills and a client-first mindset J.D. from an accredited law school Admission to practice in New York and in good standing Compensation Salary range: 180,000 - 220,000 USD , depending on experience.
